1. Introduction and Acceptance
These Terms and Conditions ("Terms") govern your use of the LogicHive UAT management platform and related services (collectively, the "Service"), operated by GreyFoundries Ltd, trading as LogicHive ("we," "our," or "us").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Service. Your continued use of the Service constitutes acceptance of any changes to these Terms.
2. Account Registration and Security
2.1 Account Creation
To use the Service, you must create an account by providing accurate, complete, and current information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access or security breach
- Ensuring your account information remains accurate and up to date
2.2 Account Eligibility
You must be at least 18 years old and have the legal capacity to enter into binding contracts to use the Service. By creating an account, you represent and warrant that you meet these requirements.
3. Subscriptions and Billing
3.1 Subscription Plans
LogicHive offers various subscription plans with different features and pricing. Full details of available plans can be found on our website. Subscription fees are:
- Billed in advance on a monthly or annual basis (as selected)
- Subject to change with 30 days' notice to existing subscribers
- Exclusive of applicable taxes, which will be added where required by law
3.2 Payment Terms
By providing payment information, you authorize us to charge the applicable fees to your chosen payment method. You agree to:
- Provide valid and current payment information
- Promptly update payment information if it changes
- Pay all fees when due, including any late payment charges
3.3 License Allocation
Your subscription includes a specific number of user licenses (Full and Run licenses) and projects as per your chosen plan. Additional licenses and projects can be purchased separately. You are responsible for managing license allocation within your organization.
4. Cancellation and Refund Policy
4.1 Cancellation
You may cancel your subscription at any time through your account settings or by contacting our support team. Cancellation will take effect at the end of your current billing period.
4.2 No Refunds
All subscription fees are non-refundable. If you cancel your subscription, you will not receive a refund for the current billing period, but you will retain access to the Service until the end of that period. No partial refunds are provided for unused time or licenses.
4.3 Account Data After Cancellation
Upon cancellation, your account will be downgraded at the end of the billing period. Your data will be retained for 90 days, after which it may be permanently deleted unless you reactivate your subscription.
5. User Data and Intellectual Property
5.1 Your Data
You retain ownership of all data, content, and materials you submit to the Service ("User Data"). By using the Service, you grant us a limited, worldwide license to:
- Host, store, and process your User Data to provide the Service
- Create aggregated, anonymized data for analytics and service improvement
- Use anonymized data for marketing and research purposes
5.2 Our Intellectual Property
The Service, including its software, design, features, and content, is owned by GreyFoundries Ltd and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes only.
You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract the source code, unless permitted by law.
5.3 Data Security
We implement reasonable security measures to protect your User Data. However, you acknowledge that no method of transmission or storage is 100% secure, and we cannot guarantee absolute security.
6. Acceptable Use Policy
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
- Use the Service in any way that violates applicable laws or regulations
- Attempt to gain unauthorized access to the Service or related systems
- Interfere with or disrupt the Service or servers/networks connected to the Service
- Upload or transmit viruses, malware, or other malicious code
- Use the Service to harass, abuse, or harm others
- Impersonate any person or entity or misrepresent your affiliation
- Collect or harvest information about other users without consent
- Use automated systems (bots, scrapers) to access the Service without permission
- Share your account credentials or allow unauthorized access to your account
- Resell, sublicense, or redistribute the Service without authorization
We reserve the right to suspend or terminate your access to the Service if we reasonably believe you have violated this Acceptable Use Policy.
7. Service Availability and Support
7.1 Best Effort Availability
We strive to provide continuous availability of the Service but do not guarantee uninterrupted or error-free operation. The Service is provided on an "as is" and "as available" basis without any warranties regarding:
- Uptime or availability percentages
- Response times or performance levels
- Freedom from errors, bugs, or security vulnerabilities
7.2 Maintenance and Downtime
We reserve the right to perform scheduled maintenance, which may result in temporary service interruptions. We will attempt to provide advance notice of planned maintenance when possible, but are not obligated to do so.
7.3 Support
Support is provided based on your subscription tier. Standard support is available via email during business hours (Monday-Friday, 9:00 AM - 6:00 PM GMT). Enterprise customers may receive enhanced support as specified in their agreement.
8. Limitation of Liability and Disclaimers
8.1 Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
8.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GREYFOUNDRIES LTD SHALL NOT BE LIABLE FOR ANY:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Damages resulting from service interruptions or data loss
- Damages arising from unauthorized access to your account or data
In no event shall our total liability to you for all claims exceed the amount you paid us in the 12 months preceding the claim.
8.3 Indemnification
You agree to indemnify and hold harmless GreyFoundries Ltd, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service or violation of these Terms.
9. Termination
9.1 Termination by You
You may terminate your account at any time by canceling your subscription as described in Section 4.
9.2 Termination by Us
We reserve the right to suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:
- Violation of these Terms or our Acceptable Use Policy
- Non-payment of fees
- Fraudulent or illegal activity
- Risk to the security or integrity of the Service
9.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination (including but not limited to limitations of liability, indemnification, and dispute resolution) will continue to apply.
10. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date at the top of this page. For significant changes, we may also notify you via email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree with the changes, you must cancel your subscription and stop using the Service.
11. Governing Law and Dispute Resolution
11.1 Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.
11.2 Jurisdiction
You agree that any disputes arising from these Terms or your use of the Service will be subject to the exclusive jurisdiction of the courts of England and Wales.
11.3 Dispute Resolution
Before filing any legal action, we encourage you to contact us at sales@logic-hive.co.uk to attempt to resolve the dispute informally.
12. Miscellaneous Provisions
12.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and GreyFoundries Ltd regarding the Service and supersede all prior agreements and understandings.
12.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
12.3 Waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
12.4 Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
